8. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE FEDERAL AND STATE LAW, INCLUDING THE LAWS OF THE UNITED STATES, IN NO EVENT SHALL CHOPT, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, SUPPLIERS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO:

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE GREATEST EXTENT PERMITTED BY APPLICABLE LAW.
The limitations and disclaimers in this section do not purport to limit liability or alter your rights as a consumer that cannot be excluded under applicable United States consumer protection laws, including protections afforded by the Federal Trade Commission Act (FTC Act) and, where applicable, the California Consumer Privacy Act (CCPA/CPRA).
9. Indemnification
You agree to defend, indemnify, and hold harmless Chopt and its respective officers, directors, employees, agents, affiliates, successors, and assigns (collectively, the "Indemnified Parties") from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees and court costs) arising out of or relating to:
- Your use or misuse of our Services or Website;

- Any content you submit, post, or transmit through our Services;
- Your fraudulent, negligent, or wrongful conduct;
- Any dispute between you and any third party arising from your use of our Services;
- Your access to or use of third-party websites or services linked to or from our Website.
We reserve the right, at our own expense, to assume exclusive defense and control of any matter otherwise subject to indemnification by you, and in such case, you agree to cooperate with our defense of such claim. You shall not settle any indemnified claim without our prior written consent.
10. Privacy and Data Protection
Your use of our Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Our Privacy Policy describes how we collect, use, store, disclose, and protect your personal information. By using our Services, you consent to the collection and use of your personal information as described in our Privacy Policy.
To the extent you are a resident of California, your use of our Services is subject to additional rights and protections under the California Consumer Privacy Act (CCPA) and the California Privacy Rights Act (CPRA), as described in our Privacy Policy. These rights include the right to know, the right to delete, the right to opt-out of sale, and the right to non-discrimination.
We are committed to protecting your personal information in accordance with applicable United States federal and state privacy laws, including the FTC Act and applicable state consumer protection statutes.
11. Third-Party Links and Services
Our Website may contain links to third-party websites, services, or platforms that are not owned or controlled by Chopt. We have no control over and assume no responsibility for the content, privacy policies, practices, or terms of service of any third-party websites or services. We do not endorse or make any representations about third-party websites or services.
Your use of third-party websites and services is governed by the terms and privacy policies of those third parties. We strongly encourage you to review the terms and privacy policies of any third-party website or service you visit. We shall not be liable for any damages or losses caused by or arising from your use of third-party websites or services.
12. Governing Law and Jurisdiction
These Terms and any dispute or claim arising out of or in connection with them, their subject matter, or their formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the federal laws of the United States and the laws of the state in which Chopt is registered and operates, without regard to any conflict of law principles that would require the application of the laws of another jurisdiction.
Subject to the dispute resolution provisions set forth in Section 13 below, you agree that any legal action or proceeding arising out of or relating to these Terms or your use of our Services shall be instituted exclusively in the federal or state courts of competent jurisdiction in the United States. You consent to the personal jurisdiction of such courts and waive any objection to venue in such courts.
Nothing in these Terms shall limit our right to seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of our intellectual property rights or other proprietary rights.
13. Dispute Resolution
We encourage you to contact us first at info@new-chopt.click to resolve any dispute informally before initiating formal legal proceedings. We will make reasonable efforts to resolve any dispute amicably within thirty (30) days of receiving your written notice of the dispute.
13.1 Binding Arbitration
If an informal resolution cannot be reached, you and Chopt agree that any dispute, controversy, or claim arising out of or relating to these Terms, your use of our Services, or any products or services purchased through our Website shall be resolved exclusively through binding individual arbitration administered by the American Arbitration Association (AAA) in accordance with its Consumer Arbitration Rules, rather than in a court of law.
The arbitration shall be conducted in English and shall take place in the United States in a location mutually agreed upon by the parties, or via remote hearing if agreed. The arbitrator's award shall be binding and may be entered as a judgment in any court of competent jurisdiction.
13.2 Class Action Waiver
YOU AND CHOPT AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION. The arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding.
13.3 Exceptions
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidential information. Additionally, claims that qualify for small claims court may be filed in the appropriate small claims court.
13.4 Time Limitation on Claims
ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS OR OUR SERVICES MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES. OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.
14. Term and Termination
These Terms shall remain in full force and effect for as long as you access or use our Services or maintain an account with us. We may, at our sole discretion and without prior notice, suspend, restrict, or terminate your access to our Services or close your account for any reason, including but not limited to:
- Your violation or breach of any provision of these Terms;
- Fraudulent, abusive, or illegal activity associated with your account;
- Failure to pay for orders or other charges;
- Behavior that is harmful to other users, our employees, or our business;
- Extended periods of account inactivity;
- Our decision to discontinue or substantially modify our Services.
You may terminate your account at any time by contacting us at info@new-chopt.click and requesting account deletion. Upon termination, your right to use our Services will immediately cease.
Upon termination of your account or these Terms for any reason, all provisions of these Terms that by their nature should survive termination shall survive, including but not limited to provisions relating to intellectual property rights, disclaimers, limitations of liability, indemnification, dispute resolution, and governing law.
15. Changes to Terms
We reserve the right to modify, update, or revise these Terms at any time at our sole discretion. When we make material changes to these Terms, we will notify you by:
- Posting the updated Terms on our Website with a revised "Last Updated" date;
- Sending an email notification to the address associated with your account (if applicable); and/or
- Displaying a prominent notice on our Website or through our Services.
Your continued use of our Services after the effective date of any revised Terms constitutes your acceptance of the updated Terms. If you do not agree with any changes to the Terms, you must immediately discontinue your use of our Services and, if applicable, close your account.
We encourage you to review these Terms periodically to stay informed of any updates or changes. The most current version of these Terms will always be available on our Website.
16. Force Majeure
We shall not be liable for any failure or delay in performing our obligations under these Terms to the extent that such failure or delay is caused by circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, epidemics, government actions or restrictions, war, terrorism, labor disputes, supply chain disruptions, power outages, or failures of telecommunications infrastructure.
In the event of a force majeure event, we will make reasonable efforts to resume normal operations as soon as practicable and will notify affected customers where reasonably possible.
17. Severability
If any provision of these Terms is found to be unlawful, void, invalid, or unenforceable under applicable law by a court of competent jurisdiction or an arbitrator, that provision shall be deemed severed from these Terms and shall not affect the validity or enforceability of the remaining provisions. The remaining provisions of these Terms shall continue in full force and effect, and the invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable, if possible.
The invalidity of any provision in one jurisdiction shall not affect its validity or enforceability in any other jurisdiction.
18. Waiver
No failure or delay by Chopt in exercising any right, power, or remedy under these Terms shall operate as a waiver of that right, power, or remedy. No single or partial exercise of any right, power, or remedy shall preclude any other or further exercise of that right, power, or remedy or the exercise of any other right, power, or remedy. A waiver by Chopt of any breach or default shall not constitute a waiver of any subsequent breach or default.
19. Entire Agreement
These Terms, together with our Privacy Policy and any other legal notices, policies, or agreements published by us on our Website, constitute the entire agreement between you and Chopt with respect to your use of our Services and supersede all prior and contemporaneous agreements, understandings, representations, and warranties, both written and oral, regarding the subject matter hereof.
No oral or written information or advice given by Chopt or any of its authorized representatives shall create a warranty or otherwise alter the terms of this Agreement unless made in a written amendment signed by an authorized representative of Chopt.
20. Assignment
You may not assign or transfer your rights or obligations under these Terms, in whole or in part, without our prior written consent. Any attempt to assign these Terms without such consent shall be null and void. We may freely assign or transfer our rights and obligations under these Terms at any time without notice or consent, including in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of our assets.
21. Electronic Communications
By using our Services and providing us with your contact information, you consent to receive electronic communications from us, including emails, push notifications, and other digital messages relating to your account, orders, and our Services. You agree that any notices, agreements, disclosures, or other communications that we send to you electronically will satisfy any legal communication requirements, including that such communications be in writing.
22. Compliance with Applicable Law
